The Corporate Department serves the day-to-day legal needs
of many of our clients, who include start-up companies, middle market
companies and public companies. While the firm, and most of our
clients, are New Jersey based, our clients’ business, and
hence our practice, extends throughout the United States, and often
into Europe and Asia. Our client base includes manufacturers, hospitality
and entertainment companies, distributors, retailers, service companies
and technology companies.
We have an active mergers and acquisitions practice,
regularly representing buyers and sellers in a broad range of M&A
transactions. We are experienced in mergers, acquisitions of stock
and assets, recapitalizations, tax-free reorganizations and buy-outs
of minority interests. Our expertise covers the spectrum of legal
issues that arise in M&A transactions such as tax, real estate,
environmental, employee benefits and intellectual property.
We have extensive experience in all types of financing
and capital market transactions on behalf of corporate borrowers
and issuers. We provide advice concerning SEC reporting and disclosure
issues including the preparation of reports under the Securities
Act of 1934 and the management of information under Regulation FD.
We also counsel our clients regarding their evolving responsibilities
under the Sarbanes-Oxley Act.
Our Corporate Department also has significant experience
structuring, documenting and providing advice with respect to joint
ventures, joint development agreements and other strategic alliances.
In addition, we have substantial experience representing clients
in connection with a wide variety of issues affecting our clients’
day-to-day operations such as drafting, negotiating and advising
clients on licensing agreements, supply and distribution contracts,
purchase and sale forms, warranty agreements and the implementation
of employee incentive programs such as stock option and appreciation
rights agreements and executive compensation arrangements.
